Welcome to a2ax.ai (“we,” “us,” or “our”). By accessing or using our website, web app, APIs, and related services (collectively, the “Services”), you agree to these Terms of Service (the “Terms”). If you do not agree, do not use the Services.

1) Eligibility & Accounts

• You must be at least 16 years old (or the local equivalent minimum age).

• You are responsible for all activity under your account and for safeguarding credentials and OAuth authorizations.

• When using third-party login (Google, LinkedIn, Twitter/X), you authorize us to process information those platforms provide as described in our Privacy Policy.

2) Subscriptions, Fees & Payments (Stripe)

• Some features are offered via subscriptions or usage-based billing; prices and plans are shown at checkout or in-app.

• Payments are processed by Stripe; we do not store full card numbers or CVV on our servers.

• Trials (if any): cancel before the end of the trial to avoid charges; otherwise your plan renews automatically.

• You agree to pay fees and applicable taxes. On payment failure, we may retry charges and suspend/limit access.

• Cancellation & refunds: you may cancel auto-renew anytime; charges already incurred or current billing periods are generally non-refundable unless required by law or expressly stated otherwise.

3) Acceptable Use Policy (AUP)

You agree not to:

• Use the Services for unlawful, infringing, fraudulent, harassing, defamatory, hateful, or privacy-invasive activities;

• Attempt to bypass security or access controls; scrape or bulk-export unauthorized data; conduct DDoS or malicious scanning;

• Reverse-engineer, copy, resell, white-label, or build a competing product based on the Services without written permission;

• Abuse APIs/automation in a way that causes excessive load or harms other users.

4) Your Content & Data

• User Content: You retain ownership of the data and materials you upload or enter. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, process, and use such content only as necessary to provide, maintain, and improve the Services and to meet legal obligations.

• Compliance: We process personal data according to our Privacy Policy and applicable laws for purposes including contract performance, legitimate interests, consent, and legal compliance.

5) Third-Party Services & Integrations

• We work with service providers (“processors”) to deliver functionality, including Stripe (payments), Google Analytics 4 (analytics), and Google/LinkedIn/Twitter (X) OAuth (login/authorization).

• Google user data is subject to the Google API Services User Data Policy (including the Limited Use requirements): used only to provide or improve features directly related to that data; not used for ads or independent profiling; no human access without your consent unless required for security, fraud/abuse investigation, or by law.

• Third-party services are governed by their own terms and policies; please review them.

6) Intellectual Property

• Our IP: The Services and all related software, documentation, designs, trademarks, and content are owned by a2ax.ai or its licensors and protected by IP laws.

• Your license: We grant you a non-exclusive, non-transferable, internal-use license to access the Services during your subscription term for lawful business purposes. Except as allowed by law or with our written consent, you may not copy, modify, distribute, rent, sell, or create derivative works of the Services.

7) Beta / Experimental Features

• We may offer “Beta” or experimental features as-is. They may contain defects, change, or be discontinued. You assume associated risks.

8) Confidentiality

• Each party must protect the other’s non-public information and use it only as necessary to perform under these Terms, except where disclosure is required by law or necessary to protect rights.

9) Term & Termination

• These Terms apply from your first use until terminated.

• We may suspend or terminate access (with or without prior notice) if you violate these Terms or jeopardize the Services or other users.

• Upon termination, sections concerning fees, confidentiality, IP, disclaimers, limitations of liability, and dispute resolution survive.

10) Disclaimers (No Warranties)

• The Services are provided “as is” and “as available”. We make no warranties—express or implied—about uninterrupted, error-free operation, compatibility, fitness for a particular purpose, merchantability, or non-infringement. Internet and third-party services involve inherent risks.

11) Limitation of Liability

• To the maximum extent permitted by law, a2ax.ai is not liable for indirect, incidental, special, punitive, or consequential damages (including lost profits, data, goodwill).

• Aggregate cap: Our total liability for all claims is limited to the greater of (a) the amounts you paid to us for the relevant Services in the 12 months before the claim, or (b) USD 100 for free Services, subject to mandatory law.

12) Indemnification

• You will defend, indemnify, and hold harmless a2ax.ai and its affiliates, employees, and partners against claims, losses, costs, and liabilities (including reasonable attorneys’ fees) arising from your breach of these Terms, applicable law, or third-party rights.

13) Privacy & Data Protection

• Our collection and use of personal data are governed by our Privacy Policy.

• If the Terms and the Privacy Policy conflict, mandatory law prevails; otherwise, these Terms control.

14) Export & Compliance

• You will comply with applicable export control, sanctions, and anti-bribery/AML laws and will not use the Services in restricted regions or for prohibited purposes.

15) Governing Law & Dispute Resolution

• Unless mandatory local law requires otherwise, these Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.

• Disputes will first be negotiated in good faith; failing that, they will be brought exclusively in the state or federal courts located in Delaware. Each party waives the right to a jury trial to the extent permitted by law.

16) Changes to These Terms

• We may update these Terms and will display the “Last updated” date. For material changes, we will notify you via in-product notice or email. Your continued use after changes take effect constitutes acceptance.
